[GOV-2] Information provided to and sustainability matters addressed by the undertaking’s administrative, management and supervisory bodies

Sustainability-related information is communicated to the governing and supervisory bodies of the entity in accordance with the organisational structure of PGE S.A. In addition, sustainability issues are addressed during meetings of the Sustainable Development Committee, including matters related to the process and outcomes of the double materiality assessment.

The unit responsible for the overall oversight of ESG-related activities within the PGE Capital Group is the Investor Relations and ESG Department at PGE S.A. (DRIE). This department works closely with the Management Board of PGE S.A. on corporate ESG and sustainability communications, as well as on relations with shareholders, stakeholders, and decision-makers. It also collaborates closely with other departments and companies within the PGE Capital Group in stakeholder communication and manages communications relating to sustainability and ESG factors.

All key information – including matters related to sustainability and ESG activities – is presented during Management Board meetings as required, for example to monitor project implementation, approve or endorse a project, or determine the strategic direction.

As part of the Management Board’s activities in 2024, a report on the implementation of ESG initiatives within the PGE Capital Group was presented, including recommendations for future actions. The Management Board also approved the report from the double materiality assessment process. Depending on the needs, the Management Board provides its opinions or decisions accordingly.

In addition, sustainability-related topics and updates on the status of ESG-related activities across different areas of the organisation are more broadly discussed during meetings of the Sustainable Development Committee, chaired by the Vice-President of the Management Board responsible for strategy. At the same time, the PGE Group has begun work on structuring the management of sustainability within the Group. This effort aims to establish clear objectives and indicators, define responsibilities, and set directions for the development of sustainability practices. The comprehensive integration of sustainability into the organisation’s operations will require a reconfiguration of the current management system.

As part of its oversight role, the Supervisory Board of PGE S.A., both independently and with the support of the Strategy and Development Committee, carries out tasks related to monitoring the implementation of the PGE Capital Group’s Strategy – including programmes that support the integration of sustainability principles – taking into account the impacts, risks, and opportunities linked to sustainable development.
